Corporate Governance is a ‘collection of rules, practices and policies governing corporations in their decision-making process and dictating the internal relationships between different corporate actors, responsible for establishing the overall company direction’ . ‘The corporation form is recognised as a watershed moment in the development of industrialisation, market economies, and ultimately, economic success.’ What should be the ultimate objective of the corporate form i.e., whose interests should a business be serving have been a bone of contention since a long time. This paper begins by briefly discussing the shareholder primacy model and stakeholder model, then examines what factors caused the paradigm shift from the shareholders approach to stakeholders one and establishes which model is best suited in today’s world, when corporations have taken on more complex role. In the end of the research, this paper takes a look over which model is adopted by the Indian Corporate Law
